I Professional Experience
A Litigation
1 General Civil: Representative experience trial counsel in one of the largest criminal anti-trust cases to go to trial; lead counsel in a $300,000,000 False Claims Act trial in the Bicoastal Bankruptcy; civil fraud litigation that resulted in the first criminal convictions of S&L officers during the savings and loan crisis. Other litigated matters include civil anti-trust, securities, employment contract, environmental and general commercial litigation.
2 Insurance Related: Have done extensive experience in policy coverage work since early 1980s. Litigated over 75 environmental and toxic tort coverage matters on a national basis. Other coverage issues handled include automobile policies, contract liability, advertising liability and directors and officers liability. Provide representation to policyholders and insurers.
Direct claims experience includes a wide range of tort, product liability, and civil rights claims. Toxic tort defense experience includes asbestos, lead point and chlorine.
3 Claims Management: Significant claims management experience as outside general counsel to a major insurance industry pool. Had management responsibility for a portfolio of environmental claims initially reserved at $300,000,000. In first year of responsibility reduced outstanding legal claims by over 50% and reduced legal expenses by $1,200,000. Retained and supervised outside law firms on a national basis. Negotiated complete reinsurance assumption agreement with AIG to allow closure of the pool.
B General Corporate
1 Early Stage Companies: The following examples of recent and current engagements reflect the types of clients with which we work and the range of services provided:
- Hazardous Risk Notification: The company developed a process and technology to provide early notification of potential threats and risks relating to the transportation of hazardous materials. Services included joint venture and partnering agreements, software development contracts, funding agreements, intellectual property and patent strategy, licensing agreements and general business plans and strategies.
- Data Collocation Center: Services included corporate structure and strategy, developing operating agreements real estate and construction contracts, developing customer service agreements, employment contracts, vendor contracts, legal oversight of sales and marketing materials and insurance and risk management.
- Health Insurance Company: The company provides cash pay patients with insurance protection for the costs of complications arising from bariatric (Weight loss) surgery. Services provided inclu, business planning and strategy, investor relations, joint venture and strategic alliance agreements, physician and hospital agreements, regulatory matters, service provider contracts and issues relating to captive insurance companies.
- Text Analytics Service Provider: The company provides text analytics services in areas of risk management, insurance and contract analysis. Services include serving as outside general counsel and on the Board of Directors, corporate structure and governance, creation of operating agreements employment and human resources, joint venture and strategic alliance agreements, intellectual property protection and general corporate including lease negotiations and oversight of the sales and marketing function.
- Data Exchange Infrastructure Company: The company offers an advanced means for Internet companies to exchange data at higher speeds and lower costs, providing the foundation for Internet III. Services include serving as outside general counsel and on the Board of Directors, corporate structure, development of operating agreements, investor relations, business strategy, leases, vendor contracts, employment matters and joint ventures and strategic alliances.
2 Other General and Corporate Matters:
- Executive Employment: Representing senior executives on employment contract issues, including severance and stock options.
- Consulting Businesses: Assist professionals and senior executives in establishing consulting companies, including legal structure and development of consulting contracts.
- Business Formation: Creating corporate, limited liability, shareholder and partnership agreements.
- Real Estate: Drafting and negotiating real estate leases, purchase agreements and construction contracts.
- Internal Investigations: Assisting companies in investigating and responding to illegal and fraudulent activities.
- Insurance Consulting: Advising and representing companies on insurance coverage matters, advising companies and senior executives on issues of risk management and insurance, including directors and officers liability, developing liability transfer and alternative risk strategies and negotiation of insurance claims.

Professional Practice:
Case was in private practice in Chicago for 16 years, 8 years in the Motorola legal, and 4 years in Motorola management directing commercial relations for a high tech division.
Practice Areas:
While in private practice Case was involved in a wide variety of product liability, tort and commercial litigation. He first chaired both jury and bench trials. At Motorola, Case provided general commercial legal advice to several divisions. He was also responsible for developing various corporate wide policies regarding product safety, and reduction of contractual damage exposure. He helped create and implement the product safety and education program for the Cellular business. He assumed responsibility of contracts and compliance for the SmartCard Solutions Division and negotiated various strategic alliances, contracts and licensing agreements on a global basis.
Other Relevant Experience:
Case is a chair qualified arbitrator for the National Association of Security Dealers, as well as an arbitrator for the Lake and Cook County Courts in Illinois. He has Certificates in Mediation from the Center for Conflict Resolution and DePaul University.
Associations:
Case is a member of the American Corporate Counsel Association and the American Bar Association. He is licensed in Illinois and is a member of the Trial Bar, US District Court, Northern District of Illinois.
