Donald
Jernberg
Don has
been a partner in well-respected firms: Williams and Montgomery (1972-1980;
associate and partner); Isham Lincoln and Beale (1980-1988; partner);
Oppenheimer Wolff and Donnelly, Chicago (1988-1999; partner). Don left
Oppenheimer in 1999 to for the business venture with Ernst and Young, returning
to practice in 2002.
He
obtained his B.A. from Vanderbilt University (magna cum laude, Phi Beta Kappa)
and his J.D. from Northwestern University (cum laude, Order of the Coif). He
served as an Associate Professor of Law at the University of Alabama,
1976-1977. He enjoys an “AV” rating under the peer review system employed by
Martindale Hubble. This rating, which is obtained by only 10% of peer reviewed
attorneys, signifies that his fellow attorneys judge him as meeting the highest
professional and ethical standards.
Alan
Case
Alan
Case is a commercial attorney with extensive experience in negotiating
commercial transactions. He advises
corporate clients on a contracted basis, supporting specific projects or
departments, providing general law department backup, or temporarily filling
vacant law department positions. His corporate experience with law departments,
and with management, marketing, product, and sales groups, allows him to enter
a department or project with a basic understanding of the business objectives
and the corporate dynamics that may be involved.
Alan
was employed by Motorola, Inc., for twelve years. His last position at Motorola was Director of
Contracts and Compliance for a high-tech start-up business selling smartcard
products and custom designed smartcard systems.
He provided legal advice to the division and was responsible for all of
its commercial relations.
Previously
at Motorola, he represented product and service groups at other Motorola
sectors, including cellular subscriber, two-way radio and automotive electronic
components. He worked with all levels of
management in doing so, and negotiated a wide variety of commercial
transactions, such as:
* product purchase and sale,
* service and maintenance,
* software development and acquisition,
* joint product development,
* manufacturing,
* intellectual property licensing,
* product distribution,
* product development,
* strategic alliances, and
* systems integration and operations.
He also
provided many legal services related to commercial activity, such as:
* anti-trust counseling,
* developing template contracts for
specific businesses and applications,
* creating a commercial relations database
(more than a contracts database) to record and monitor commercial relations and
transactions,
* creating and implementing various
employee training programs (including policy compliance),
* advertising review,
* preparation of contracting processes and
corporate policies,
* product development management (product
safety), and
* litigation and outside counsel
management.
Prior
to joining Motorola, he was a trial lawyer in Chicago, focusing on personal
injury defense and commercial litigation.
His experience includes jury and bench trials. He has been a licensed attorney in Illinois
since 1973 and is a member of the trial bar of the U.S. District Court,
Northern District of Illinois.
Alan
has been active in ADR for over twenty years.
He is chair-qualified and regularly chairs arbitrations for the
Financial Industry Regulatory Authority (FINRA) and the American Arbitration
Association (AAA). He has also
arbitrated for Illinois Mandatory Arbitration in Lake and Cook Counties. He earned Certificates in Mediation from
DePaul University and the Chicago Center for Conflict Resolution.
Alan
has a B.A. from Vanderbilt University with a major in Economics and a J.D from
Northwestern University School of Law.
He is a member of the American Bar Association and several of its
sections, including Business Law and Litigation.
